POSITION OVERVIEW:
Provide assistance to the Securities & Corporate Law team in carrying out corporate legal responsibilities; Assure the day-to-day flow of documents and information, support in-house attorneys and outside counsel, as needed.

ESSENTIAL JOB DUTIES/RESPONSIBILITIES:
1. Manage or assist with domestic and international subsidiary matters, including formation, dissolution, conversion, drafting of governance documents and consents and maintenance of minute books
2. Oversee the preparation and filing of annual reports, franchise taxes and foreign qualifications for the company and its domestic and international subsidiaries
3. Assist with the preparation and organization of detailed records in support of Board meetings and SEC filings, including the proxy statement, Annual Reports on Form 10-K and Quarterly Reports on Form 10-Q
4. Draft and maintain legal documents in support of the company's business operations, including incumbency certificates, officer certificates and delegations of authority
5. Support merger and acquisition transactions, including due diligence and coordination closing procedures
6. Manage virtual data rooms
7. Provide timely responses and documents to requesting departments and outside agencies and assist outside counsel as requested
8. Assist in planning, organizing, administering, and tracking programs and projects handled by the Securities & Corporate Law team
9. Collaborate with all departments, as needed, to ensure timely handling and completion of the company's legal activities
10. Respond to requests for information and advice
11. Comply with all applicable laws/regulations, as well as company policies/procedures
12. Perform other duties as required

QUALIFICATIONS:
* Paralegal Degree or Paralegal Certificate from an accredited institution from the applicable state; or at least three years of relevant work experience can be substituted for this requirement if the candidate has a Bachelor's degree in a relevant discipline or area of study
* Five (5) years paralegal experience in a relevant discipline
* Excellent interpersonal and relationship-building skills
* Strong written and verbal communications skills
* Excellent organizational and time management skills
* Ability to multi-task and prioritize multiple assignments and meet deadlines
* Ability to interact with all levels of leadership across FedEx Freight enterprise
* Experience and ability to use Microsoft Office Software, including but not limited to; Word, Excel, and Outlook

WORKING CONDITIONS:
* Some travel may be required
* Fast-paced, deadline oriented
