PRIMARY FUNCTION
The Sr. Director of Contracts and Compliance is responsible for the overall administration, coordination and evaluation of the organization's contracts, purchasing, and subcontracting functions. This position will ensure compliance related to Federal Acquisition Regulations (FAR), Defense Federal Acquisition Regulations (DFAR), Small Business Administration (SBA) regulations/policies, and International Traffic in Arms Regulations (ITAR).

ESSENTIAL FUNCTIONS

Plan, develop, implement, and evaluate various strategies for contract administration including, but not limited to the following:

  • Responsible for managing and evaluating the department's staff along with an analysis of current contracts and to make recommended staffing changes based upon requirement that analysis.

  • Monitor contract compliance, including compliance with bid/proposal efforts and awarded/active contracts.

  • Negotiate contract terms and provisions with customers, subcontractors, and vendors.

  • Develop, implement, and provide training programs that support compliance with federal regulations, and company policies and procedures.

  • Administer Cost Plus Fixed Fee, Firm Fixed Price, Cost Reimbursable, and Time and Material Contracts.

  • Assist with the negotiation and execution of Non-disclosure Agreements (NDAs) and Teaming Agreements (TAs).

  • Enter Purchase Orders for services and consumables in support of direct and indirect departments

  • Lead the company and evaluate methodologies for managing company exports and draft export licenses in accordance with ITAR and or EAR.

  • Partner with executive management for strategic planning related to the contracts department.

  • Directs and develops policies and procedures that govern contract administration staff and provide guidance on contract terms and assessment of contract proposals.

  • Responsible for input and management of contract department's overhead budget.

  • Issues subcontracts to teaming partners IAW the FAR.

  • Conduct internal audits to ensure compliance with government regulations and internal policies and procedures.

  • Oversee potential risks such as conflicts of interest or violations of ethics laws.

  • Work with DCAA and DCMA in support of audit requests.

  • Oversee SAM registration per Subsidiary

  • Maintain close liaison with counterparts in Business Development, Finance and Accounting, Field Offices, Programs and other corporate staff in order to ensure contract and compliance coordination between departments.

  • Support pre and post mergers and acquisition activities for newly acquired companies.

  • Oversee SBA (8)a Compliance Program.

  • Participate and oversee strategic planning for formation of new entities and entrance into the 8(a) Program

  • Oversee SBA 8(a) compliance for all applicable entities to include 8(a) applications, business plans, reporting in Certify, and all other SBA regulatory compliance matters

  • Oversee Subsidiaries Business Licenses to make sure all are up to date and renew when needed

  • Optimize the delivery of responsive, customer-focused contract/export services

  • Attend meetings of the Executive Management Team, Contracts team and other various events

  • Develop workforce / succession analysis plans by estimating, forecasting, and anticipating hiring needs and trends. Ensure that personnel needs are met in a fiscally responsible method.

  • Foster a productive work environment that encourages positive and effective working relationships and open communication and that is respectful and inclusive of all employees.

  • Continuously enhance job knowledge by participating in conferences and educational opportunities, reading professional publications, maintaining professional networks, and participating in professional organizations

  • Support management team members by providing contractual advice, counsel, and decision-making assistance

  • Ensure adherence to master plans and schedules; develops solutions to functional area problems, and directs work of employees assigned to contracts and compliance department

  • Maintains compliance with federal, state, and local legal requirements by studying existing and new legislation, enforcing adherence to requirements, and advise management on actions needed

  • May be required to perform other related duties to ensure the ongoing needs of the organization are met

SUPERVISORY RESPONSIBILITIES

  • The Sr. Director of Contracts and Complaince will direct the overall contracts/purchasing function and perform exempt level decision making including interviewing, hiring, termination, performance reviews and performance corrections.

  • This position will work under the direct authority and supervision of Yulista Holding (YHL) Executives and in partnership with the Calista Corporation (parent company) Legal Counsel to ensure compliance with overarching policies, procedures, and requirements.

  • Will make recommendations for corporate policy changes at times to ensure the best interests of YHL are met.

KNOWLEDGE, SKILLS, & ABILITIES:

  • Advanced computer skills specifically using Microsoft Office Suite; ability to learn additional computer skills or software programs.

  • Proficiency with Deltek Costpoint and Deltek Purchasing Module

  • Proficiency with SharePoint

  • Ability to Lead efforts related to negotiating Teaming Agreements and Non-Disclosure Agreements

  • Experience with ITAR regulations and obtaining export licenses

  • Experience reviewing Requests for Proposals (RFPs) and responding with compliant Contracts and or Cost Volume proposals

  • Experience with SAM, Seaport E, Fed Biz Ops, and other Government systems

  • Ability to read and interpret documents such as safety rules, operating and maintenance instructions, regulatory requirements, and procedure manuals.

  • Ability to write complex reports and correspondence

  • Excellent interpersonal skills to work effectively and cooperatively with all levels of management and staff. Will also routinely interact with external contacts such as customers, vendors, suppliers, legal counsel, regulatory agency officials, etc.

  • Must be trustworthy - will handle confidential information routinely

  • Effective communication skills to effectively and clearly communicate complex information to others as well as to present information in front of a large group.

  • Strong professional customer service skills, including active listening, prompt service and follow-up.

  • Excellent analytical skills with the ability to evaluate data and consider decision impact across multiple areas.

  • Strong decision analysis and problem solving skills; ability to draw conclusions and justify decisions. Must be able to communicate issues to management and regulatory agencies

  • Ability to learn and understand corporate policies and procedures and how they relate to Yulista Holding, LLC.'s goals.

  • Ability to perform basic mathematical computations, detect unobvious facts and issues, and exercise resourcefulness in resolving problems.

  • Must be able to work independently and stay on task with minimal to no supervision.

QUALIFICATIONS:

  • Bachelor's Degree in Business or other related field

  • 10+ years experience in contracts management and government contracting.

  • In depth knowledge of FAR and ITAR requirements.

  • Understanding of the Small Business Administration 8(a) regulations and reporting requirements

  • Previous experience with Service Contract Act requirements and Collective Bargaining Agreements negotiation/administration.

  • Ability to pass a drug and background screening

  • Must be able to obtain a government security clearance

  • Some level of experience with performing business internationally
