About the Role

We are seeking an experienced Commercial Attorney to support our enterprise software business through complex commercial transactions, with deep expertise in privacy, data, security, and compliance matters. This role will serve as a strategic partner to our business team including the sales organization, and cross-functional stakeholders on high-value deals and critical legal matters.

Key Responsibilities

Commercial Transactions

  • Draft, negotiate, and close complex enterprise software agreements including SaaS contracts, licensing agreements, MSAs, SOWs, and professional services agreements
  • Partner with Sales, Product, and Finance teams to structure deals that balance business objectives with legal risk
  • Review and approve quotes, proposals, and contract terms under established approval matrices
  • Support go-to-market initiatives including pricing models, partner agreements, and channel distribution strategies

Privacy & Security

  • Advise on global privacy and data protection requirements including GDPR, CCPA, and industry-specific regulations
  • Review and negotiate data processing agreements, security exhibits, and BAAs
  • Collaborate with IT and Security teams on information security policies, incident response protocols, and vendor risk management
  • Support privacy impact assessments and security audits (SOC 2, ISO 27001, etc.)

Strategic Counsel

  • Provide day-to-day legal guidance to business leaders on commercial matters, risk management, and compliance
  • Develop and maintain contract templates, playbooks, and approval processes
  • Drive continuous improvement of legal operations and contract lifecycle management

Required Qualifications

  • JD from an accredited law school and active bar membership in good standing
  • 6+ years of commercial legal experience, with at least 3 years focused on enterprise software or SaaS businesses and prior in-house experience preferred
  • Deep expertise in privacy and security law, including hands-on experience with GDPR, CCPA, and similar frameworks
  • Proven track record negotiating high-value, complex enterprise agreements in a fast-paced environment
  • Strong business acumen with ability to balance legal risk against commercial objectives
  • Experience advising on security compliance frameworks (SOC 2, ISO 27001, FedRAMP, etc.)
