Legal Counsel, Government - Customers & Commercial

We are currently seeking a lawyer with a proven record of customer service and a practical, problem-solving approach to providing commercial legal services in a technology-enabled, data-driven corporate legal department for government contracts. The ideal candidate will have deep experience with various procurement vehicles, complex regulatory requirements, and direct customer negotiations. The successful candidate needs to be a hands-on commercial lawyer with exceptional communication skills, capable of providing sound legal and business advice and counsel to sales professionals, product management, and other internal customers. The successful candidate will also be responsible for identifying and analyzing legal issues, drafting and negotiating documents, presenting commercially viable recommendations, and assuring legal compliance for government contracts. When dealing with internal or external customers, the successful candidate will seek to enhance the customer experience and simplify the customer's interaction with the legal department.

This is a hybrid opportunity with Thomson Reuters based in either, McLean, VA; Minneapolis-Saint Paul, MN; or Dallas, TX and the successful candidate is expected to be in the office at least three days a week. The role sits within the Customers & Commercial team of the Thomson Reuters General Counsel Office, a highly collaborative team focused on enabling business growth and mitigating risk for the customer-centric commercial group.

About the Role
In this opportunity as Legal Counsel, Government - Customers & Commercial, you will:

  • Review, draft, and negotiate a wide range of customer-facing and partner agreements, primarily complex software (including SaaS) and information licensing agreements, re-distribution, hosting, content acquisition, consulting and professional services agreements, non- disclosure agreements and other commercial agreements relating to sales of Thomson Reuters products and services.
  • Serve as the primary legal point of contact to the Deal Desk for government segment.
  • Identify legal, regulatory and compliance requirements and risks associated with various business initiatives and developing and implementing appropriate mitigation strategies.
  • Work with members of the General Counsel Office on enterprise- wide legal issues and projects.
  • Operate within policy guidelines and requirements set for Thomson Reuters lawyers to ensure compliance and consistency.
  • Research and respond to general legal inquiries from Thomson Reuters internal customers that relate to corporate, commercial, intellectual property and compliance matters, including privacy-related matters, and advise business on appropriate legal action to be taken.
  • Contribute know-how to the group's Knowledge Management initiatives and help to build an open knowledge sharing culture.
  • Provide practical and insightful business and strategic advice, leveraging experience in the practice of law and the legal profession.
  • Undertake other reasonable duties as requested.

About You
You're a fit for the role of Legal Counsel, Government - Customers & Commercial, if your background includes:

  • 3-5+ years post qualification experience in private practice and/or as in-house legal counsel advising on the sell, rather than the buy side, for government procurements.
  • Excellent technical legal knowledge in government contract and commercial law, particularly with SaaS products and solutions, including Gen AI products and solutions.
  • Excellent negotiation and drafting skills.
  • Excellent written/verbal communication skills. Ability to positively influence behavior of multiple stakeholders.
  • Excellent communication, organization, and analytical skills; and an aptitude for problem-solving.
  • Experience and/or interest in using AI tools and other legal technology.
  • Ability to think strategically and creatively, to identify and resolve legal issues; desire and ability to quickly learn about Thomson Reuters' products and services, and its internal processes and organizational structure.
  • Ability to successfully work in a team environment and in a matrixed organization and ability to build rapport and trust with both internal and external stakeholders. Ability to juggle multiple matters at once and work independently in a fast-paced environment and prioritize accordingly. Ability to exercise good judgement on when to seek help and where to find appropriate resources to solve problems.
  • Juris Doctor from an accredited law school
  • Authorized to practice law in state of residence.

Thomson Reuters complies with local laws that require upfront disclosure of the expected pay range for a position. The base compensation range varies across locations. Eligible office location(s) for this role include one or more of the following: New York City, San Francisco, Los Angeles, and/or Irvine, CA; McLean, VA; Washington, DC. The base compensation range for the role in any of those locations is $134,680 - $250,120. For any eligible US locations, unless otherwise noted, the base compensation range for this role is $116,900 - $217,100. This role may also be eligible for an Annual Bonus based on a combination of enterprise and individual performance. Base pay is positioned within the range based on several factors including an individual's knowledge, skills and experience with consideration given to internal equity. Base pay is one part of a comprehensive Total Reward program which also includes flexible and supportive benefits and other wellbeing programs.
