Overview

Orrick currently has an excellent opportunity for a Practice Support Attorney in our Capital Markets (CAPM) group. This position can be based in any of our U.S. offices (Austin; Chicago; Boston; Houston; Los Angeles; New York; Menlo Park; Orange County; Portland; Sacramento; San Francisco; Santa Monica; Seattle; Washington DC; or Wheeling, WV) with consideration given for 100% remote US locations.

The Objective:
As a Practice Support Attorney, you will play a key role in supporting the CAPM group by creating, updating, and maintaining forms and reference materials for corporate governance and securities matters. You will also help organize group trainings, develop thought leadership, conduct research, and advise clients on a limited basis.

What will I do?
You will support the CAPM group by developing and maintaining essential resources, driving knowledge management initiatives, and supporting the adoption of legal technology. You will also contribute to client service by advising on corporate governance and compliance matters, and by helping to deliver impactful training and thought leadership.

How will I spend my time?

You will spend most of your time on these Resource Development and Knowledge Management responsibilities:


Responsibilities

Create, update, and maintain forms and reference materials for corporate governance and '34 and '33 Act matters, including:

  • Charters, by-laws, and corporate governance guidelines
  • Insider Trading, Reg FD, Related Party Transaction, and other governance and securities policies
  • Model form registration statements
  • Annual governance and reporting calendars
  • Legal opinions

Development of automated versions of these resources as appropriate.

Training and Thought Leadership

  • Identify topics and create materials for monthly group training meetings.
  • Draft client alerts, articles, and other publications on relevant topics.
  • Help create client and board update presentations and trainings.
  • Organize and support panel discussions, including presentations and outlines.

Client Service

  • Advise late-stage private tech companies on corporate governance and public company readiness, and public companies on ongoing governance and compliance requirements (not to exceed 25% of your time).

Innovation and Technology

  • Lead and support projects to facilitate the adoption and utilization of AI and other legal technology for capital markets practitioners.
  • Collaborate with business units and practice group innovation teams on legal tech initiatives.

Collaboration and Project Management

  • Work independently and collaboratively on a broad range of projects.
  • Support, coordinate, and lead projects to drive efficiency and knowledge sharing within the group.

Qualifications

  • Juris Doctorate (J.D.) from an accredited university or college and admission to practice in good standing in a US jurisdiction is required.
  • Minimum of six (6) years of experience as a capital markets, securities, and/or corporate governance attorney in a large law firm, in a client billable and/or knowledge management capacity.
  • Superior written and verbal communication skills with the ability to present complex ideas in layman's terms.
  • Excellent analytical, project management, prioritization, and organizational skills.
  • Demonstrated ability to work independently, handle multiple tasks, and quickly prioritize projects.
  • Strong interpersonal and customer service skills with a positive outlook and excellent diplomacy.
  • Flexible team player with a sense of ownership, enthusiasm, and innovation.
  • Understanding of the importance of knowledge management, practice and project management, and efficiency in supporting the firm's business plan.
  • Desire and ability to assist on other projects and initiatives as needed.

Compensation and Benefits

The expected salary range for this position is between:

  • California Major Markets* $200,000.00 - $275,000.00
  • New York City $200,000.00 - $275,000.00
  • National $200,000.00 - $250,000.00

* California Major Markets includes San Francisco, Silicon Valley, Los Angeles, Orange County, Santa Monica. All other California locations fall within National range.

Orrick is committed to providing a comprehensive, competitive, and thoughtful total compensation package to our attorneys and staff, wherever they work. This compensation and benefits information is based on the Orrick's estimate as of the date of publication and may be modified in the future. The level of pay within the range will depend on a variety of job-related factors that may include, but not limited to, qualifications, relevant experience or education, particular skills or expertise, geography. Other compensation may include an annual discretionary merit bonus, which would be determined by Firm and individual performance.
