Position Title: Stock Specialist

Location: Vadnais Heights, MN - Hybrid (2-3 days per week in-office)

Position Overview:

The Stock Specialist will provide support to H.B. Fuller employees globally in matters related to equity compensation. This role is responsible for administering equity programs, conducting stock analysis, and managing documentation processes. The ideal candidate will have strong attention to detail, problem-solving skills, and experience in stock administration. Proficiency in Microsoft Office Suite (Excel, PowerPoint, Word, Outlook), database functionality, and data merging is required. In addition to stock administration, this position will also oversee the deferred compensation program, assist with annual proxy filings, and support other executive compensation initiatives.

Primary Responsibilities:

Stock Administration (60%)

  • Grant stock awards, including calculations of awards
  • Manage annual and quarterly stock awards, including LTI plans, retention, and board of director stock grants
  • Track and manage stock award details, ensuring timely acceptance of awards
  • Prepare employee grant communications and supporting documents
  • Partner with Legal on award agreements and online grant documentation
  • Oversee restricted stock unit (RSU) and performance stock unit (PSU) vesting processes
  • Coordinate with vendors for processing stock unit vestings
  • Calculate FICA taxes and confirm dividend accruals for vestings
  • Ensure compliance with US and global withholding requirements
  • Manage stock option exercises and audit termination processes for stock participants
  • Provide information for annual global tax filings

Partner with Legal for Proxy and Required Stock Filings (10%)

  • Gather and analyze stock information for annual proxy statements
  • Provide stock and dividend data to Legal for SEC Section 16 form filings

Balance Stock Plan Accounts and Monitor Stock Plan Spending (10%)

  • Monitor and track stock plan spending
  • Work with vendors and Legal to balance stock plan reserves

Manage Key Employee and Board of Director Deferred Compensation Plan (10%)

  • Manage enrollment and coordinate distribution payments
  • Track and oversee stock spend related to deferred compensation

Additional Responsibilities/Projects (10%)

  • Maintain process documentation and recommend improvements
  • Conduct annual executive and director stock ownership analysis
  • Assist with compensation-related special projects

Minimum Requirements:

  • At least 4 years of related work experience
  • Strong knowledge of stock administration and equity compensation principles
  • Proficiency in Microsoft Office Suite (Excel, PowerPoint, Word, Outlook)
  • Ability to analyze and manage stock-related financial data

Preferred Requirements:

  • Experience working with legal and compliance teams on SEC filings
  • Bachelor's or University Degree in Human Resources, Business, or a related field
  • Familiarity with deferred compensation programs
  • Prior experience in an equity compensation role within a corporate setting
  • Knowledge of tax implications related to stock awards and compensation

Pay is based on several factors including but not limited to education, work experience, certifications, and geographic location.

The salary for this role is $84,000 - $110,000.
