The Integration Management Director leads all aspects of transaction integration for Owens Corning with responsibility for deals that span the enterprise, across a variety of deal sizes. This includes integration strategy and execution planning across acquisitions, joint ventures, and strategic alliances. Responsibilities include synergy assessment/management, integration theory, program management, internal and external partner management, and realization of deal value through guidance of enterprise integration leadership team. In working with Corporate Development and Corporate Strategy as well as Business Unit Presidents and General Managers, the Integration Management Director will drive and deliver value creation through M&A. This leader is accountable for fostering an OC M&A community of practice and maintaining an OC integration playbook / toolkit with all Functional leaders/members to ensure internal deal readiness and proactive alignment of resources. Reports to: Senior Vice President, Strategy, Corporate Development & Integration Scope: Global Travel: 30-50% depending on deal volume
Integration Theory, Value Creation, and Synergy Assessment/Validation (typically starting post LOI)
- Drive creation of a clear integration thesis and execution plan for each deal that ties directly to the value drivers, OC ownership advantages, synergies, and key risks.
- Collaborate with M&A teams during due diligence to assess integration feasibility and potential challenges.
- Develop overall integration principles, and top-down integration plan outlining goals, timelines, key milestones, and resource allocation. Plan for how and when we will integrate all functions, processes and organizational design into OC. As we get closer to deal completion, develop detailed bottoms-up integration workplans for each function.
- Drive alignment and timeline realization of synergies (cost, revenue) as well as one-time costs.
Program Management
- Develop, own, and manage integration master plan.
- Ensure Day 1 plan so integration starts smoothly, along with creating appropriate Day 30-60-90-180+ plans.
- Structure appropriate governance model (eg Integration Management Office) fit for purpose for transaction size, deal thesis, and complexity.
- Lead cross-functional teams from different departments, including finance, operations, IT, HR, and legal, to ensure coordinated integration efforts.
- Track progress against timelines, and identify and mitigate risks that could impact the progress of the deal. Pivot as needed and make critical decisions throughout the process to meet deadlines and milestones.
- Ensure that we are integrating in a manner that fully considers the impact to the newly acquired employees and is consistent with the integration principles.
- Ensure clear approach and workstreams to proactively manage communications and change management.
- Communicate integration plans and updates clearly and effectively to all stakeholders internally and externally.
- Facilitate change management activities to minimize disruption and ensure smooth transition for employees during the integration process.
- Work to develop talent retention plan to ensure key employees remain on board
- Create a collaborative team environment where diverse perspectives are valued, team members maximize their full potential and collectively reach peak team performance.
- Promote a culture of continuous learning for self and team.
Partner Management (external and internal)
- Develop and maintain strong and influential relationships with executive leadership team, steering committees, and functional experts, acting as the trusted advisor in all integration matters.
- Manage relationship with external integration partners to create a seamless blended team of internal and external resources.
- Ensure all members of the integration team are properly onboarded with deal context, strategic priorities, and documentation of critical decisions made.
- Ensure effective management systems are in place to provide a frictionless integration process for both acquired business and OC integration workstreams.
- Lead cross-functional integration teams (Finance, HR, GIS, EHS, Legal, etc.) throughout the ambiguousness of integration and implementation.
- Identify capacity or capability mismatches on integration teams to help drive proper resourcing.
- Maintain support for integration resourcing through leadership of M&A community of practice (diligence teams).
- Empower integration team members to identify and mitigate risks or differentiators that could impact the progress of the deal (ie, regional legal requirements, tax structures, language or cultural considerations, etc.).
Acquired Company & OC Steering Committee Management
- Build and manage relationships with the acquired entity's executive leaders and teams pre and post-close to drive integration process harmonization and synergies realization.
- Serve as the conduit that links the deal thesis to the integration thesis to achieve full deal potential.
- Ensure deal steering committee / executive sponsors are properly engaged throughout the integration.
- Maintain acquired company and GM perspectives while driving integrations.
Integration Playbook and Toolkits
- Develop and manage post-integration success metrics and measurements. Monitor the post-integration performance to identify areas for improvement and adjust strategies as needed.
- Document and maintain lesson learned and incorporate best practices into playbook for future acquisitions.
- Maintain OC integration playbook outlining steps, processes, key decisions for successful deal integration and value capture.
MINIMUM QUALIFICATIONS:
- Bachelor's Degree required. MBA highly preferred
- 7+ years of experience leading large-scale, cross functional programs and projects focused on business strategy, M&A, integration, organization change management. Specific integration planning and execution within a corporate and industrial setting strongly preferred.
PREFERRED EXPERIENCE:
- Work history in a leadership role that demonstrates a pattern of accomplishments in directing strategic projects and delivering results leading cross-business and/or cross-functional initiatives.
- Experience with integration planning and execution, as well as ideally acquisitions, mergers, or other investment-related transactions resulting in a knowledge of the transaction process, documents, electronic data rooms, and deal management tools.
- Experience communicating and acting as an advisor to key executive global partners and stakeholders
- Proven ability to flex and adjust on the fly to new demands with a sense of urgency. Has the ability to embrace a highly dynamic, fast-paced environment with rapid change.
- Exceptional change management capability with a demonstrated track record of positive results.
