Job Summary

Assist the Corporate Secretary and/or Manager Corporate Affairs with governance and compliance matters relating to the Board of Director and its committees, subsidiary boards, stockholders and executives. Be responsible for and/or assist in completing team duties, principally relating to: WEC Energy Group Board and Committees, Subsidiary Boards, and Entity Management.

This position is part of a job family (Sr Corporate Governance Specialist, Lead Corporate Governance Specialist) and experience is the determining factor.

Job Responsibilities

This is a senior level position in the Corporate Governance Specialist job family. The individual in this role will:

  • Perform complex assignments under tight deadlines and often changing circumstances
  • Have a broad knowledge of practices and procedures
  • Develop trusting relationships with clients (e.g. senior leadership, outside directors)
  • Set aggressive goals for self
  • Maintain composure under pressure

Specific responsibilities the individual will own or support include:

  • Preparation of complete, timely and accurate materials for presentation to Boards and committees, which includes the solicitation and review of materials from outside parties (e.g., attorneys, consultants, auditors, etc.)
  • Preparation and/or review of resolutions and minutes relating to various corporate governance matters
  • Research and consultation on necessary actions to be taken by various governing bodies and/or individuals to effectuate corporate goals and to ensure compliance with regulatory requirements, applicable charters, and governance guidelines
  • Completion of periodic required regulatory filings (e.g., with registered agents, Secretary of State, FERC, etc.) for WEC and subsidiaries
  • Maintenance of corporate database for all companies (entity management) and associated subsidiary management procedures
  • Research of evolving governance requirements and best practices. Recommendation and implementation of changes in governance initiatives
  • Services that relate to our stockholders, including the annual meeting of stockholders, dividend payments, etc.
  • Preparation of content for various SEC filings, including proxy statement
  • Administration of insider trading practices, including but not limited to pre-clearance, and preparation and filing of associated SEC forms
  • Support of corporate transactions, including financings, mergers and acquisitions, investments and stock-related transactions
Minimum Qualifications
  • 4 years of experience in a related field
  • Bachelors degree in business administration, finance, paralegal studies, communications or a related field

End Date: 03/11/2025

Pay Range Minimum: $76,932.70

Pay Range Maximum: $132,708.94

The pay range reflects the minimum and maximum for the position at the time of posting and may be modified in the future. The starting salary/pay within the pay range will be based on several factors, as applicable, but not limited to, relevant education, qualifications, certifications, experience, skills, geographic location, shift, travel requirements, collective bargaining agreements, and business and organizational needs. At WEC Energy Group, it is not typical for an individual to be hired at or near the top of the range for their role.
