We are looking for a hard-working and motivated individual to fill the position of Counsel or Senior Counsel (depending on the individual's level of experience) within the Legal Department based in Houston, Texas. This position provides an opportunity to do a variety of quality work and assume
significant responsibility. The attorney hired will work closely with various business units and report to the Assistant Corporate Secretary.

Job Responsibilities:
- Assist in the preparation and review of public disclosures and SEC filings.
- Assist in the preparation for and coordination of Board meetings and associated materials.
- Provide accurate, concise, highly responsive legal advice in a professional manner to a diverse, cross-functional group of internal clients, including but not limited to, EHS/Sustainability, Technical Accounting, Investor Relations, Treasury, Communications, Human Resources and Reserves.
- Support the Assistant Corporate Secretary on other matters, including corporate governance and corporate secretarial functions and debt and financing transactions.

Required Qualifications:
- Five plus (5+) years of experience from a law firm and/or in-house handling securities law and corporate governance issues; experience in advising companies with SEC reporting, corporate subsidiary management, financing transactions and/or debt covenants is beneficial.
- Must have excellent academic credentials and a stable work history.
- Exceptional verbal and written communication skills.
- Exceptional interpersonal and organizational skills.
- Ability to interact with individuals at all levels of the organization.
- JD licensed in good standing.

Desired Qualifications:
The ideal candidate must possess a positive, collaborative, collegial attitude and a willingness to support internal clients (both inside and outside of the Legal Department) with mutual respect and shared commitment to the Corporate Secretary Office's delivery of outstanding work product and responsiveness to organizational clients.
