About the team: Our Legal, Risk, Compliance and Audit teams ensure we're doing business the right way. They help us balance a healthy risk appetite, so we're empowered to expand our horizons. The position reports to the SVP, Deputy General Counsel for Worldpay, Corporate (the "DGC"), working closely with others in the international Corporate Governance team, ultimately reporting into the Worldpay Group Chief Legal Officer and Corporate Secretary in the US. In addition to the DGC and the Corporate Governance team, the role-holder will work closely with colleagues and corporate administration partners in multiple jurisdictions.

The role involves assisting the DGC and the Corporate Governance team in the provision of an end-to-end governance service and company secretarial function focused on the Worldpay subsidiary entities in the US and North America. The role will also support ongoing key strategic projects, in particular further Worldpay global expansion, group structure simplification, plus potential M&A.

What You'll Own:As a Corporate Governance Manager Senior, you will:

* Coordinates with corporate governance team in providing a full range of corporate governance and corporate secretarial services to Worldpay

* Drafts entity resolutions, minutes and other corporate governance documents as required.

* Drafts intercompany documents to facilitate the movement of funds.

* Assists with coordinating and reviewing required corporate governance documents by external resources.

* Prepares and assists with statutory filings.

* Maintains entity records and updates to entity database records.

* Provides assistance and support to internal legal team as required.

* Interfaces with and provides assistance and support to other departments including Treasury, Tax and Finance as required and as related to corporate governance matters.

* Provides corporate governance assistance on corporate reorganizations, mergers, acquisitions and other major projects as required.

* Coordinate the preparation of materials for Board of Director meetings, finalize materials and distribute to Board members.

* Act as an administrator of databases used by the Corporate Governance team.

Where you'll own it: Cincinnati, Ohio primarily or Jacksonville, FL secondary

What You Bring:

  • A Bachelor's degree or the equivalent combination of education, training, and work experience.
  • Minimum of 6 years' corporate governance/secretarial experience;
  • Confidence and gravitas to engage with senior stakeholders effectively;
  • Knowledge of relevant company legislation in the U.S., including general corporate law;
  • Experience with the drafting of corporate documents;
  • Experience working with outside resources;
  • Strong communication skills with the ability to multi-task and prioritize work in a fast-paced, deadline-focused environment;
  • Ability to work independently, self-motivated but also a team player;
  • Strong IT skills; familiarity with Diligent Entities, and proficiency in Windows-based applications, Microsoft Outlook, Word, Excel and PowerPoint.
  • Ability to build relationships and credibility across the organization

Added bonus if you have:

  • Experience working in a high-volume transactional environment.
  • Previous experience in payments/fintech is preferred but not essential.
  • Knowledge of or experience with Delaware corporate law.
  • Experience of corporate governance/company secretarial activity in international jurisdictions.
  • Experience of working in an international business with a significant multijurisdictional presence.
