Senior Counsel, U.S. Subsidiary Governance What is the Opportunity? As a Senior Counsel, you will have oversight and accountability for the corporate governance of U.S. subsidiaries of Royal Bank of Canada, providing expertise regarding corporate secretarial, governance and regulatory matters and ensuring a consistent approach to corporate governance is applied to all U.S. subsidiaries aligned to the enterprise governance model. You will also play a key strategic role in the creation and dissolution of subsidiaries in the U.S. and in the execution of U.S. transactions. What will you do?
- Act as a trusted legal advisor to enterprise and U.S. senior management and members of the RBC Law Group and other functions on a broad range of corporate, governance and financial services regulatory matters relating to subsidiaries.
- Provide company law, corporate governance and regulatory advice and support to the officers and board members of U.S. designated subsidiaries.
- Develop, maintain and oversee U.S. standards, protocols and precedents for board governance.
- Serve as Corporate Secretary or Assistant Secretary of designated U.S. subsidiaries.
- Assist designated U.S. boards in the following matters: setting board agendas;planning and preparing for board and committee meetings; maintaining forward agendas; taking minutes and maintaining corporate minute books and records; overseeing board evaluations of effectiveness; recruiting new directors; organizing orientation and training for new directors and key officers; coordinating and organizing information flow to directors of designated subsidiaries, and meeting the information requirements of the designated subsidiary boards.
- Work closely with partners across all three lines of defense to identify, interpret and analyze emerging regulatory and non-regulatory corporate governance developments that may impact RBC's U.S. operations.
- Support the timeliness and accuracy of responses and submissions to regulators related to U.S. corporate governance matters, including ongoing and ad hoc requests for materials.
- Ensure alignment of U.S. governance practices and processes to RBC Legal Governance of Subsidiaries Policy and collaborate with Subsidiary Governance Office to support a consistent approach to governance.
- Lead and/or provide support in the creation, dissolution and reorganization of U.S. subsidiaries.
What do you need to succeed? Must have:
- Bachelor of Laws or JD degree and admitted to the practice of law in Canada or the U.S., with strong legal knowledge particularly in corporate, regulatory and governance areas.
- A team player with proven track record of collaboration and partnership.
- Strong attention to detail and accuracy, and highly organized with ability to easily pivot shifting priorities and manage multiple tasks within challenging deadlines.
- Strong computer skills, able to adapt and apply new technologies.

The good-faith expected salary range for the above position is $110,000-190,000 depending on factors including but not limited to the candidate's experience, skills, registration status; market conditions; and business needs.This salary range does not include other elements of total compensation, including a discretionary bonus and benefits such as a 401(k) program with company-matching contributions; health, dental, vision, life and disability insurance; and paid time-off plan.
